By engaging in our services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Services. These terms govern your use of Cenozic’s services and form a legally binding agreement between you and Cenozic. You must review these terms regularly, as they may be updated periodically. Your continued use of our services following any changes signifies your acceptance of those changes. If you do not agree to any updated terms, you must discontinue using our services immediately.
Cenozic offers a comprehensive range of technology services, including but not limited to custom software development, web and mobile app development, CMS solutions, eCommerce development, MVP development, and DevOps services. The exact scope of services for your project will be outlined in a separate service agreement tailored to meet your specific needs. Cenozic is committed to delivering high-quality solutions that align with your business objectives, and our team works diligently to ensure that all deliverables meet the agreed-upon standards and timelines.
Effective communication is critical for the success of any project. If the client fails to provide necessary feedback, approvals, or other required communication within the timeframe specified in the service agreement, Cenozic may be forced to extend the project timeline or temporarily halt the project. In cases where there is no response from the client for a period exceeding 30 days, Cenozic reserves the right to terminate the agreement. In such cases, any payments made up to that point will be retained by Cenozic as compensation for work completed.
All intellectual property created by Cenozic during the project, including software, designs, and documentation, remains the exclusive property of Cenozic unless otherwise agreed upon in writing. The client is granted a limited, non-exclusive license to use the deliverables as per the terms of the agreement. This license does not grant the client any rights to modify, distribute, or resell the deliverables without prior written consent from Cenozic. Any unauthorized use of Cenozic’s intellectual property will be considered a breach of the agreement and may result in legal action.
Both Cenozic and the client agree to maintain the confidentiality of any proprietary or sensitive information shared during the project, as outlined in the Non-Disclosure Agreement (NDA). This includes, but is not limited to, trade secrets, business strategies, and client data. Cenozic will take all necessary precautions to protect the client’s confidential information and will not disclose it to any third parties without the client’s consent. The obligation of confidentiality extends beyond the termination of the agreement and remains in effect for a period of five years after the completion of the project.
Cenozic shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services, including, but not limited to, loss of profits, data, or business opportunities. Our total liability for any claims related to the services provided shall not exceed the amount paid by the client for the specific service in question. This limitation of liability applies regardless of the cause of action, whether in contract, tort, or otherwise, and is intended to protect Cenozic from excessive legal exposure.
Cenozic will not be held responsible for any delays or failures in performance due to circumstances beyond our control, such as natural disasters, wars, labor disputes, or government actions. In the event of a force majeure, Cenozic will make reasonable efforts to notify the client and resume work as soon as possible. However, if the force majeure event continues for an extended period, either party may terminate the agreement without penalty, and Cenozic will be entitled to payment for any work completed up to the date of termination.
Any disputes arising out of or in connection with these Terms of Services shall be resolved through amicable negotiation between the parties. If a resolution cannot be reached, the dispute shall be submitted to arbitration or the courts of Gurugram(Haryana), India, as per the specific terms of the agreement. Both parties agree to engage in good-faith negotiations to resolve any issues before resorting to legal action. This dispute resolution clause is intended to provide a fair and efficient process for resolving conflicts while minimizing the need for costly litigation.
These Terms of Services shall be governed by and construed in accordance with the laws of India. Any legal action or proceeding related to the services provided shall be brought in the courts of Delhi, India. Both parties agree to submit to the jurisdiction of these courts and waive any objections to the venue or jurisdiction. This governing law clause ensures that all disputes are handled consistently and predictably, providing clarity and stability for both Cenozic and the client.
